Agreement to Terms

These Terms of Service ("Terms") govern your use of the LyfeStash digital legacy platform operated by NexoStack, Inc. ("we," "our," or "us"). By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use LyfeStash.

1. Description of Service

LyfeStash is a digital legacy management platform that allows you to securely store and organize important information for your designated beneficiaries (grantees). Our service includes:

• Encrypted Record Storage: Secure, end-to-end encrypted storage of passwords, financial accounts, important documents, and personal information
• Grantee Management: Ability to designate trusted individuals (grantees) who can request access to your records
• Access Control: Configurable wait periods (24-72 hours) and access request notifications
• Circle Protection: Your trusted circle can review and block suspicious access requests
• Sharing Options: Share specific records with selected grantees or with "everyone" in your circle
• Security Features: Multi-device support, login location tracking, SMS notifications, and account security monitoring
• Subscription Management: Flexible plans with free and premium tiers

2. User Accounts and Eligibility

• You must be at least 18 years old to use LyfeStash
• You must provide accurate and complete information when creating your account
• You are responsible for maintaining the security of your account credentials and security questions
• You may not share your account with others or create multiple accounts for the same person
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity
• As a grantor, you can invite trusted individuals to become grantees of your records
• As a grantee, you must respect the wait period and access terms set by the grantor

3. Acceptable Use

You agree to use LyfeStash only for lawful purposes. You may not:

• Store illegal content or information obtained through illegal means
• Use the service to harass, threaten, or harm others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Upload malicious software, viruses, or attempt to disrupt our service
• Abuse the access request system or circumvent wait periods
• Use the Circle Protection feature maliciously to deny legitimate access
• Share your encryption keys or passwords with unauthorized parties
• Use the service for commercial purposes without our written consent
• Reverse engineer, decompile, or attempt to extract the source code of our service
• Violate any applicable laws, regulations, or third-party rights

4. Content and Data

Your Content

• You retain ownership of all content you store in LyfeStash
• You grant us a limited license to store, process, and transmit your content as necessary to provide our service
• You are responsible for ensuring you have the right to store and share the content you upload
• You agree not to store content that infringes on others' intellectual property rights
• You are responsible for backing up important data and maintaining your own copies

Data Security

Record Sharing and Access

• When you share records with grantees, they receive encrypted copies secured with their RSA keys
• Access requests are subject to wait periods you configure (default: 48 hours)
• Your circle can review and block access requests during the wait period
• Once access is granted, grantees can view and decrypt shared records
• You can revoke access to shared records at any time
• "Everyone" records are automatically shared with all active grantees in your circle

5. Subscription Plans and Billing

Free Plan

• Limited to 5 records
• Cannot share records or invite grantees
• Full encryption and security features included
• No credit card required

Premium Plans (Essential & Family)

• Store up to 100 records
• Share with up to 20 trusted grantees
• Full circle protection and access control features
• Custom wait periods and SMS notifications
• Priority customer support

Billing Terms

• Subscription fees are billed annually in advance
• New users receive a 30-day free trial
• All payments are processed securely through Stripe (we never store your payment information)
• Fees are non-refundable except as required by law or at our sole discretion
• We may change our pricing with 30 days' advance notice
• Failure to pay may result in service suspension or termination after grace period
• You are responsible for all taxes associated with your use of the service
• You can cancel your subscription at any time; access continues until the end of your billing period

6. Service Availability

While we strive to maintain high availability and reliability:

• We do not guarantee uninterrupted or error-free service
• We may temporarily suspend service for maintenance, updates, or security patches
• Service may be interrupted due to circumstances beyond our control (network outages, natural disasters, etc.)
• We will provide advance notice of scheduled maintenance when possible
• Critical security updates may be applied without advance notice

7. Termination

Termination by You

You may terminate your account at any time through your account settings. Upon termination:

• Your data will be securely deleted within 30 days
• All shared access will be immediately revoked
• Your grantees will be notified of the account closure
• No refunds will be provided for unused subscription time (except as required by law)
• You will receive email confirmation of your account deletion request

Termination by Us

We may suspend or terminate your account if:

• You violate these Terms of Service
• You fail to pay subscription fees after grace period
• We detect fraudulent, abusive, or illegal activity
• We are required to do so by law or court order
• You pose a security risk to our service or other users

We will provide reasonable notice before termination when possible, except in cases of serious violations or legal requirements.

8. Disclaimers and Limitations of Liability

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NexoStack, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes but is not limited to loss of profits, data, use, goodwill, or other intangible losses
• Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim
• These limitations apply even if we have been advised of the possibility of such damages

Note: Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless NexoStack, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the LyfeStash service
• Your violation of these Terms of Service
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights (including intellectual property rights)
• Content you store or share through the service
• Any disputes between you and your grantees

10. Dispute Resolution

Informal Resolution

Before filing a formal claim, you agree to contact us at legal@lyfestash.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 60 days.

Arbitration Agreement

If informal resolution fails, you agree that any disputes will be resolved through binding arbitration rather than in court, except for:

• Small claims court disputes (below the monetary threshold)
• Intellectual property disputes
• Injunctive relief to protect our rights

Arbitration will be conducted by the American Arbitration Association (AAA) under its rules. You waive your right to a jury trial and to participate in class actions.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes not subject to arbitration will be resolved in the state or federal courts located in Austin, Texas, and you consent to the exclusive jurisdiction of those courts.

12. Intellectual Property

LyfeStash and all related trademarks, service marks, logos, and intellectual property are owned by NexoStack, Inc. You are granted a limited, non-exclusive, non-transferable license to use the service. You may not:

• Copy, modify, or create derivative works of our service
• Use our trademarks or branding without written permission
• Remove or modify any proprietary notices
• Frame or mirror any part of our service

13. Third-Party Services

LyfeStash integrates with third-party services:

• Stripe: Payment processing (subject to Stripe's terms)
• Firebase/Google Cloud: Infrastructure and data storage (subject to Google's terms)
• Twilio: SMS notifications (subject to Twilio's terms)

We are not responsible for third-party services' availability, security, or policies. Your use of these services is subject to their respective terms.

14. Export Control

LyfeStash uses encryption technology that may be subject to export control laws and regulations. You agree to comply with all applicable export and import laws and will not export, re-export, or transfer the service to prohibited countries or individuals.

15. Entire Agreement and Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NexoStack, Inc. regarding LyfeStash. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Changes to Terms

We may update these Terms from time to time to reflect changes in our service, legal requirements, or business practices. We will notify you of material changes by email or through a prominent notice on our service at least 30 days before the changes take effect. Your continued use of LyfeStash after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the service and may terminate your account.
